Wolfram Chat Terms of Use

Welcome to Wolfram Chat

By accessing Wolfram Chat in any manner, You agree to be bound by these Terms of Use ("Terms"). These Terms—which we reserve the right to modify at our discretion and without notice to You—govern Your use of Wolfram Chat. You agree not to use Wolfram Chat for any purpose that is unlawful or prohibited by these Terms. We may discontinue Wolfram Chat, or portions thereof, at any time and without notice.

You affirm that You are either over 18 years of age or possess legal parental or guardian consent, and are fully able and competent to enter into these Terms. In any case, You affirm that You are over the age of 13.

Definitions

"Content" includes the text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features and all other materials You may view on or access through Wolfram Chat.

"You" refers to You personally, if You access Wolfram Chat Yourself, or You and any corporation or other entity upon whose behalf You access the site.

"Wolfram," "WRI," "we" and "us" refer to Wolfram Research, Inc.

"Submit" means any act of providing data through Wolfram Chat by means of messaging.

Limited Authorization

Wolfram grants You a personal, non-exclusive, non-transferable, limited authorization to access and use Wolfram Chat. This limited authorization is conditioned upon Your strict compliance with these Terms, and Your authorization to use Wolfram Chat may be suspended, revoked or terminated without notice in the event of Your non-compliance with these Terms.

User Accounts

A Wolfram ID is required to access Wolfram Chat. You may not use another person's Wolfram ID or share Your Wolfram ID with another person. You are solely responsible for any activity that occurs associated with Your Wolfram ID. You agree to notify us immediately of any breach of security or unauthorized use of Your Wolfram ID.

You will not impersonate any person or entity, including any employee or representative of Wolfram.

Information Security

You will not circumvent, disable or otherwise interfere with security-related elements of Wolfram Chat, including but not limited to elements that enforce limitations on use of Wolfram Chat or the Content.

You will not use Wolfram Chat in any manner that could damage, disable, overburden or impair any Wolfram systems; interfere with any other party's use of Wolfram Chat; or violate the legal rights of any other party. You will not attempt to gain unauthorized access to any feature of Wolfram Chat or other accounts.

Content Submitted by You

You warrant that You either own or have rights equivalent to ownership in all Content that You submit. You agree that Wolfram is not responsible for verifying the ownership of Content that You submit. You agree to retain all author attributions and copyright and other proprietary or legal notices contained within the Content.

You grant us permission to use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, translate, reformat and sublicense any Content You submit through Wolfram Chat. Specifically, You agree that we may redistribute all Content You submit through Wolfram Chat under the Creative Commons Attribution-ShareAlike 3.0 license. You agree that Wolfram will not pay You for Your content. You agree that while You will retain ownership of copyrighted material You submit, the material You submit shall become part of a database, and that Wolfram will own copyright in that database as a compilation.

You agree that Wolfram may retain copies of Content that You have removed or deleted from Wolfram Chat.

You agree that Your content is not confidential, and that we may disclose Your content as described herein, including but not limited to any third party with whom we have a good faith basis for doing so.

You agree that You will not submit Content that is directly competitive with products offered by us.

You agree that You may not charge for Content that You submit, or use Wolfram Chat to sell or market Your products or services to others.

Content that You submit must not: (a) infringe or violate any copyright, trademark or other right of any other person or entity; (b) be libelous, defamatory, abusive, threatening, harassing, offensive or otherwise violate any law; or (c) be malicious or destructive in nature, or contain a virus, Trojan horse, worm or other computer programming routine or engine that is intended to damage or otherwise interfere with any system, data or information.

You are solely responsible for compliance with any applicable laws, rules and regulations, including without limitation any applicable export control laws and regulations, with regard to Content that You submit, use, download, import, export or re-export.

Wolfram has no obligation to monitor the Content. However, we reserve the right to refuse to post any Content or remove any Content from Wolfram Chat, at our sole discretion.

Exclusions

Information, opinions and other content submitted through Wolfram Chat are solely those of the member posting such content and are in no way validated, nor endorsed, by Wolfram (this includes content posted by our administrators, moderators and employees). We are under no obligation to prescreen or monitor the content posted by users of Wolfram Chat, and we assume no responsibility or liability arising from content provided by any user (including liability for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger or inaccuracy).

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by You, but may be transferred or assigned by us without restriction.

You agree that Your use of Wolfram Chat shall be at Your sole risk.

You assume total responsibility and risk for Your use of Wolfram Chat and the Content. Wolfram Chat and the Content, including without limitation any information that is provided by Wolfram or Wolfram employees, are provided "as is." To the fullest extent permitted by law, Wolfram and its officers, directors, employees, agents and affiliates disclaim all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose or non-infringement, in connection with Wolfram Chat and Your use thereof. Wolfram makes no warranties or representations about the accuracy or completeness of the Content submitted through Wolfram Chat, and assumes no liability or responsibility for any: (i) errors, mistakes or inaccuracies of the Content; (ii) personal injury or property damage, of any nature whatsoever, resulting from Your access to and use of Wolfram Chat; (iii) any unauthorized access to or use of Wolfram servers and/or any and all information, including personal information, stored therein; (iv) any interruption or cessation of transmission to or from Wolfram Chat; and (v) any loss of any kind incurred as a result of Your use of Wolfram Chat.

In no event shall Wolfram and its officers, directors, employees, agents and affiliates be liable to You for any direct, indirect, incidental, special, punitive or consequential damages whatsoever resulting from Your use of Wolfram Chat or any Content, whether based on warranty, contract, tort or any other legal theory, and whether or not Wolfram is advised of the possibility of such damages. The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.

You waive any legal or equitable rights or remedies You have or may have against Wolfram with respect thereto, and to the extent permitted by applicable law agree to indemnify and hold harmless Wolfram and its officers, directors, employees, agents and affiliates to the fullest extent allowed by law from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including without limitation attorneys' fees) arising from: (i) Your use of and access to Wolfram Chat and the Content; (ii) Your violation of these Terms; (iii) Your violation of any third-party right, including without limitation copyright, property or privacy right; and (iv) any claim that Your Content caused damage to a third party. This indemnification obligation shall survive these Terms and Your use of Wolfram Chat and the Content.

These Terms shall be interpreted, enforced and construed and the rights of the parties hereunder governed in all respects by the laws of the State of Illinois, United States of America, without regard to its conflicts of law provisions, and You consent to the jurisdiction of the federal and state courts located in said State and consent to the service of process, pleadings and notices in connection with any and all actions initiated in such courts. You agree that a final judgment in any such action or proceeding shall be conclusive and binding and may be enforced in any other jurisdiction.

These Terms, and any other terms, policies or documents incorporated herein by reference, including without limitation any other policies and statements provided on www.wolfram.com, contain the entire understanding between You and Wolfram and may not be modified or amended except by Wolfram posting of a revision on its website.
