Wolfram Software Subscription License

Acceptance

The following Wolfram Software Subscription License ("Subscription License") is a binding agreement between the individual or organization ("You"/"Your") obtaining the Product and Wolfram Research, Inc. ("Wolfram") that explains Your rights and obligations as a subscription licensee ("Subscriber").

The terms of this Subscription License are subject to change from time to time at our sole discretion. We will notify You of amendments to these terms and conditions by posting them at https://www.wolfram.com/legal.

Further, in addition to this Subscription License, the Wolfram Software You are subscribing to ("Product") is governed by Product-specific terms that are also set forth at https://www.wolfram.com/legal; the Product-specific terms are hereby incorporated by reference. Your acceptance of this Subscription License constitutes Your acceptance of the Product-specific terms, and You understand that maintaining this Subscription License is a precondition to, and ongoing requirement of, Your uninterrupted use of the Product.

A Wolfram ID is required to become a Subscriber (https://account.wolfram.com/login/create).

In the event of a conflict between this Subscription License and Your Product-specific terms, this document shall govern.

Fees and Payment Authorization

By providing payment information to Wolfram or to one of its third-party payment processors, You are representing to Wolfram that You are the authorized user of the card, PIN, key or account associated with that payment, and You authorize Wolfram to charge Your provided payment medium or to process Your payment with the payment processor for any Subscription License or other fees associated therewith.

Further, if You purchase a Subscription License for a period of use in which recurring payments are to be made in exchange for continued access, You agree that Your continued use of the recurring Subscription License authorizes Wolfram to charge Your payment method in the amount of the recurring payment.

You further agree to notify Wolfram promptly of any changes to Your payment method's account number or expiration date and/or Your billing address or other payment information. You agree to promptly notify Wolfram in the event that Your credit card or other payment medium is canceled or expires.

Wolfram may charge You applicable sales taxes in addition to Subscription License fees.

Subscription Licenses are non-cancelable except as described below, and fees paid thereunder are non-refundable.

Your Subscription License terminates upon notice of a material breach that is not cured within 30 days of receipt of notice, including but not limited to the lapse of Your Subscription License, whether such lapse is the result of Your failure to renew or another condition.

Your failure to pay Wolfram any agreed Subscription License fee within 30 days of its due date may result in the suspension of Your access to the Product, and Wolfram may, without limiting other rights and remedies of Wolfram, take legal action to secure any outstanding fees. You shall be liable for any additional costs, including legal costs, incurred by Wolfram to secure such fees.

Cancellation and Renewal

Wolfram will bill all charges, including Subscription License fees, automatically to Your payment medium at the beginning of Your Subscription License. Your Subscription License will renew automatically, at the price at which it began, unless it is canceled in accordance with this section. Wolfram will notify You of any price increases prior to renewal. Wolfram will notify You of the upcoming renewal of Your Subscription License at least 30 days prior to the date that Your Subscription License renews, except as otherwise required by law. For all Subscription Licenses, You must cancel Your Subscription prior to the date on which renewal is scheduled to occur in order to avoid billing of Subscription License fees for the renewal term. You may cancel Your Subscription License by contacting Customer Support at https://www.wolfram.com/support/contact.

Permitted Uses

Wolfram hereby grants, and You accept, a limited, terminable, non-exclusive license and right to use the Product in accordance with this Subscription License and the associated Product-specific terms.

Specifically, Your Subscription License entitles You to install and use the Product as set forth in the Product-specific terms, provided that You are properly logged in and authenticated with an official Wolfram server.

Prohibited Uses

All uses of the Product not specifically enumerated herein are prohibited, including, without limitation, allowing another person to use or access Your Subscription License.
