Free Wolfram Engine™ for Developers: Terms and Conditions of Use

Wolfram Research, Inc., its subsidiaries and affiliated companies (collectively referred to as "Wolfram") require that any developer ("You") utilizing the Free Wolfram Engine for Developers ("Free Engine" or "Software") adhere to the following terms. By utilizing the Free Engine, You indicate Your acceptance of and agreement to these Terms and Conditions, which are subject to change without notice from time to time at Wolfram's sole discretion. Wolfram will notify You of amendments to these Terms and Conditions by posting them at https://www.wolfram.com/legal.

Product Use

Subject to these terms and Your acceptance thereof, Wolfram grants You a non-exclusive license to install and use the Free Engine on a computer system (whether physical or virtual) capable of running the Software. You must adhere to Your Wolfram Software License Agreement (https://www.wolfram.com/legal/agreements/wolfram-mathematica/); allowed uses are as follows, with additional guidance provided in the associated FAQ (https://www.wolfram.com/engine/faq):

  • Development but not production of software applications. While determinative classification of use shall be solely made by Wolfram, allowed uses include but are not limited to:
    • pre-production/pre-distribution development of a product for Yourself or Your organization;
    • undertaking non-commercial projects for personal use; and
    • exploring the Wolfram Language™ for consideration of use in subsequent projects.
  • Open-source projects approved by Wolfram.
  • For current licensees of any Wolfram products: other uses subject to the terms of existing software licenses.

Other than these express terms, no right, title or interest in or to any tangible or intangible property of Wolfram is granted, and all such rights are expressly reserved by Wolfram.

Prohibited Uses

All uses of the Software and other elements of the Free Engine not specifically allowed under these terms or otherwise set forth in alternative or supplemental license agreements or terms of use are prohibited, including, without limitation:

  1. running the Free Engine in a production software application;
  2. running the Free Engine expressly to produce output for commercial or organizational use;
  3. decompiling, disassembling or reverse engineering the Free Engine;
  4. modifying the Free Engine in any manner;
  5. distributing, publishing, transferring, sublicensing, lending, leasing, renting or otherwise making available any portion of the Free Engine, including collections of data;
  6. copying or allowing copying of the Free Engine or any elements of the Free Engine, except as permitted for the maintenance of a single archival copy of the Engine;
  7. using the Free Engine for any illegal purpose or to create malicious programs, including but not limited to creating computer viruses and malware or denying computer bandwidth to Wolfram and its affiliates and users; and
  8. using a password, activation key or other means of accessing the Software other than as specifically authorized by Wolfram.

Online Services and Data

Certain functionality in the Free Engine may require it to access collections of data available through external servers. Wolfram makes no warranty that access to such data will be uninterrupted or that the data itself will be error free. Wolfram reserves the right to restrict access to, add, update, modify or remove collections of data based on availability, Your service subscription or otherwise at Wolfram's discretion. You agree all data access and use shall be in accordance with these Terms and Conditions, and not to access or use data collections in such a manner that could damage, disable, overburden or impair the servers providing such data. You agree to only access collections of data through the intended Software interface. Data provided through Wolfram's online services constitutes protected intellectual property and may not be copied, distributed, used to construct a database, stored (in whole or in part) in databases for access by You or any third party, or provided or distributed through any database services containing all or part of such data. Access to the online services is provided to You at Wolfram's discretion and may be terminated or restricted at any time.

Wolfram|Alpha®: Software functionality allows You to access Wolfram|Alpha data from within the Software. In addition to the general Online Services and Data terms and restrictions listed above, data and other results obtained through the Wolfram|Alpha functionality are subject to the Wolfram|Alpha Terms of Use at https://www.wolframalpha.com/termsofuse. Your use of this functionality indicates Your acceptance of these terms.

Wolfram Cloud™: Software functionality allows You to access the Wolfram Cloud from within the Software. In addition to being subject to the general Online Services and Data terms and restrictions, as well as the Wolfram|Alpha Terms of Use, the Wolfram Cloud service is subject to the Terms of Use at https://www.wolfram.com/legal/terms/wolfram-cloud. Your use of this functionality indicates Your acceptance of these terms.

General Disclaimers

This Software, including its functions, materials and information, and any products or services made available through this Free Engine, is provided "as is" without warranties of any kind, either express or implied, unless otherwise expressly stated herein. Wolfram disclaims all warranties express or implied, including but not limited to warranties of quiet enjoyment and non-infringement, as well as any implied warranties of merchantability or fitness for a particular purpose as to any computer programs, or the design or informational content of the Free Engine.

Wolfram does not warrant or make any representations regarding operation of the Free Engine or the validity, accuracy or reliability of the results or products generated by using the Free Engine or any other World Wide Web resource or Free Engine linked to this Free Engine. The materials on this Free Engine may be out of date, and Wolfram makes no commitment to update the materials on this Free Engine.

Wolfram does not and cannot guarantee or warrant that the files available for downloading from this Free Engine, if any, will be free from infection, viruses, worms, Trojan horses or other code that manifests contaminating or destructive properties. Wolfram does not warrant that the Free Engine software, materials, products or service will be uninterrupted or error free, or that any defects in the Free Engine or any element thereof will be corrected. Applicable law may not allow the disclaiming of implied warranties, so the above disclaimer may not apply to You as it relates to implied warranties.

In no event shall Wolfram or its agents, representatives and independent contractors be liable for any lost profits, lost use, lost benefits or any consequential, indirect, incidental, special or punitive damages, whether in contract, tort or otherwise, even if Wolfram has been advised of the possibility of such damages.

Indemnity

You agree to indemnify and hold Wolfram, and its agents, affiliates and assigns, harmless from and against any and all claims, losses, liability, costs or expenses (including but not limited to reasonable attorney's fees) relating to or arising from: 1) the violation or breach of these Terms and Conditions; 2) violation or infringement of any third-party's rights, including but not limited to copyrights and proprietary and privacy rights, resulting from Your breach of these Terms and Conditions; or 3) any violation of applicable federal, state or local law, regulation or ordinance resulting from Your breach of these Terms and Conditions.

Audit

You will maintain accurate records of Your use of the Free Engine sufficient to show compliance with these Terms and Conditions, and Wolfram will have the right to audit such records to confirm compliance therewith. Upon written notice of an audit from Wolfram, You shall respond within ten (10) business days.

Trademark Information

Wolfram's trademarks may be used or reproduced publicly only with permission from Wolfram. Fair use of Wolfram's trademarks in advertising or promotion of Wolfram products requires proper acknowledgment. All other brands are the property of their respective owners.

Copyright and Ownership of Materials

Except where otherwise noted, all technical, visual and functional elements of the Free Engine are copyrighted and are protected by worldwide copyright laws and treaty provisions. They may not be copied, reproduced, modified, uploaded, posted, transmitted or distributed in any way, in whole or in part, without Wolfram's prior written permission.

Additional General Terms

The Free Engine is protected by international copyright, trademark and other intellectual property laws and may not be mirrored, redistributed, printed, publicly performed or displayed, reproduced in bulk, or archived without advance written permission. Access to the Free Engine may be blocked without notice to subnets violating these Terms of Use or otherwise at the discretion of Wolfram.

This Engine was created, and is maintained, in the State of Illinois, United States of America. Wolfram makes no claims that the materials contained on the Free Engine are appropriate or may be downloaded outside of the United States. Access to the Engine and the materials therein (including software) may not be legal by certain persons or in certain countries. If You access this Free Engine from outside the United States, that access is made at Your own risk. You are responsible for compliance with the laws of Your jurisdiction.

Use of the Free Engine, its Terms and Conditions of use, and all other aspects of the operation and functionality of the Free Engine shall be governed by and construed under the laws of the State of Illinois, without giving effect to its rules regarding conflicts of laws. Wolfram and You hereby irrevocably consent to the jurisdiction of the courts located in Illinois for any action, claim or cause arising out of or related to the use of the Free Engine and any products or services obtained through the Free Engine. If any provision of these Terms and Conditions is found to be invalid by a court of competent jurisdiction, the invalidity of such provision shall not impair the validity of the remaining Terms and Conditions. No waiver of any provision of the Terms and Conditions shall be deemed a further waiver of any other provision thereof.
